1. Acceptance of the Terms
By accessing or using HXST (the "Platform"), including the HXST mobile application and any associated websites operated by PT Entertainment Ltd. ("we," "us," "our," or the "Company"), you ("you" or "User") agree to be bound by these Terms of Service (the "Terms") and all policies incorporated by reference (see Section 21). If you do not agree to these Terms, do not access or use the Platform.
2. Definitions
"Platform" means the HXST application, software, and related websites operated by the Company.
"Organizer" means a User who creates, manages, or sells tickets to an Event.
"Attendee" means a User who discovers, purchases, or holds tickets to an Event.
"Event" means any event listed or ticketed on the Platform.
"Content" means any information, text, images, or materials submitted to the Platform.
3. Eligibility and Accounts
You must be at least 19 years of age to create an account, purchase tickets, or otherwise use the Platform. Because many Events serve alcohol and are restricted to persons of legal drinking age, the Platform is restricted to users who are 19 years of age or older (the legal drinking age in Ontario).
You are responsible for maintaining accurate and current account information and for safeguarding your account credentials. You are responsible for all activity that occurs under your account. You may not create or maintain multiple accounts to evade restrictions, suspensions, fees, or these Terms. The Platform does not require Attendee identity verification; Organizers receiving payouts are subject to identity verification by our payment processor (see Section 6).
4. Platform Role
The Platform provides software and marketplace functionality that allows Organizers to create and manage Events and allows Attendees to discover and purchase tickets.
The Company both (a) operates the Platform and (b) acts as an Organizer for the events it hosts under the Partytime.TO brand. Where the Company is the Organizer of an Event, the Organizer obligations in these Terms and in the Organizer Agreement apply to the Company in that capacity.
For Events hosted by third-party Organizers, the Company acts solely as a technology and marketplace provider. We do not verify Organizers, and we do not guarantee the occurrence, quality, safety, or legality of any Event. The contract for any Event is between the Attendee and the Organizer. All event liability, cancellation, and risk rests with the Organizer. The Company is not responsible for anything that occurs at or in connection with an Event, does not provide attendee guarantees, and does not operate an attendee protection fund.
5. Tickets, Pricing, and Service Fees
Ticket pricing, service fees, taxes, and any other applicable charges will be displayed during checkout before you complete a purchase. All prices are in Canadian dollars unless otherwise stated.
All ticket sales are final. Except where a refund is required by applicable law, tickets and all service and processing fees are non-refundable (see the Refund & Cancellation Policy). A ticket is a limited, revocable license to attend an Event, subject to the rules of the Organizer and the venue. Tickets may not be resold above their face value, and any ticket that is resold above face value or obtained fraudulently may be voided without refund.
6. Payments and Payouts
Payments are processed by our third-party payment processor, Stripe. By making or receiving payments through the Platform, you agree to Stripe’s applicable terms and authorize the Company and Stripe to process the transaction. Organizers receiving payouts must complete the identity verification and onboarding required by Stripe, including applicable "Know Your Customer" requirements.
Organizer payouts are remitted approximately 30 days after an Event concludes, subject to fraud, dispute, chargeback, and risk holds and any applicable reserves. Organizers are responsible for chargebacks, refunds, and related costs arising from their Events, and the Company may recover these amounts from Organizer payouts or reserves (see the Chargeback & Fraud Policy).
7. Refunds and Cancellations
All ticket sales are final and non-refundable, except where a refund is required by applicable law. If an Event is cancelled, any refund is handled in accordance with the Refund & Cancellation Policy and applicable law. The Company is not responsible for funding refunds, and does not reimburse Attendees for Organizer non-performance, except to the extent required by law. 8. Organizer Obligations (Summary)
Organizers are responsible for ensuring that Event information is accurate and that their Events comply with all applicable laws, licenses, permits, and venue requirements, including alcohol licensing and capacity limits. Organizers bear all event liability, cancellation, and risk. Organizers may not list unlawful, deceptive, dangerous, or infringing Events. Full Organizer terms are set out in the Organizer Agreement, incorporated by reference.
9. Acceptable Use
You agree not to: interfere with the security of the Platform; attempt to gain unauthorized access to any system or account; scrape, harvest, or collect data without authorization; disrupt the services; use bots or automated means to access the Platform or purchase tickets; impersonate any person or entity; or provide misleading Event or account information. The Platform does not offer a public API. Full terms are set out in the Acceptable Use Policy, incorporated by reference.
10. User Content
You retain ownership of the Content you submit. You grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use that Content for the purpose of operating, promoting, and improving the Platform and Events. You are responsible for your Content and must not submit Content that is unlawful, abusive, defamatory, infringing, or misleading. See the Community & Content Standards, incorporated by reference.
11. Intellectual Property
The Platform, including the HXST name, software, user interface, and design, is owned by the Company and protected by applicable intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Platform without our prior written permission.
12. Privacy
Your use of the Platform is subject to our Privacy Policy, incorporated by reference, which explains how we collect, use, and disclose information about you.
13. Disclaimers
The services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, and we make no warranty regarding any Event or any third-party Organizer.
14. Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to your use of the Platform. The Company’s total aggregate liability arising out of or relating to the Platform will not exceed the greater of (a) half the total fees you paid to the Company in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100.
These limitations do not apply to liability arising from the Company’s fraud, gross negligence, or willful misconduct, or to any liability that cannot be excluded or limited under applicable law (including, where applicable, consumer-protection law).
15. Indemnification
You agree to indemnify and hold harmless the Company and its directors, officers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your Content, your Events (if you are an Organizer), or your breach of these Terms or applicable law.
16. Suspension and Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that violates these Terms or that we reasonably believe is harmful, fraudulent, or unlawful. You may stop using the Platform at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
17. Changes to the Terms
We may update these Terms from time to time. We will communicate material changes through the Platform or by email. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
19. Dispute Resolution
The parties will first attempt to resolve any dispute informally by contacting info@hxstevents.com. Subject to applicable consumer-protection law, any dispute that cannot be resolved informally will be submitted to the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts.

Refund & Cancellation Policy
1. Overview
This Refund & Cancellation Policy forms part of, and is incorporated by reference into, the HXST Terms of Service. It explains how refunds and cancellations are handled on the Platform. Capitalized terms have the meanings given in the Terms of Service.
2. All sales are final
All ticket sales made through the Platform are final. Except where a refund is required by applicable law, all tickets, service fees, and processing fees are non-refundable, and the Platform does not offer refunds, partial refunds, exchanges, or credits. By completing a purchase, you acknowledge and agree that your purchase is final.
3. Service fees
Service fees and processing fees charged by the Platform are non-refundable in all cases except where a refund of those fees is required by applicable law.
4. Cancelled events
If an Event is cancelled, the Company does not itself provide refunds and is not responsible for funding refunds. Any refund for a cancelled Event is a matter between the Attendee and the Organizer and is subject to applicable law. Because all event risk and cancellation responsibility rests with the Organizer, claims relating to a cancelled Event are against the Organizer.
5. Postponed or rescheduled events
If an Event is postponed or rescheduled, tickets will remain valid for the updated date. As all sales are final, rescheduling does not create a right to a refund except where required by applicable law.
6. Organizer non-performance and fraud
The Company reserves the right to investigate reports of fraud, misrepresentation, or non-performance by Organizers, and may freeze or withhold Organizer funds during an investigation. Because the Platform operates on a marketplace basis, the Company does not itself reimburse Attendees for Organizer non-performance and does not operate an attendee protection fund; any claim is against the Organizer, subject to applicable law.
7. Duplicate charges and processing errors
If you believe you were charged in error or charged more than once for the same ticket, contact info@hxstevents.com. Verified duplicate charges and genuine processing errors will be corrected, including any associated fees, as this is not a refund of a completed valid purchase.
8. Your statutory rights
Nothing in this Policy limits any non-waivable rights you may have under applicable consumer-protection law, including the Ontario Consumer Protection Act, 2002. Where this Policy conflicts with a non-waivable statutory right, that statutory right prevails.

Organizer Agreement
1. Scope and acceptance
This Organizer Agreement governs your use of the Platform as an Organizer and is incorporated by reference into the HXST Terms of Service. By creating an Event, listing tickets, or receiving payouts through the Platform, you agree to this Agreement. If you act on behalf of a business, you represent that you are authorized to bind that business.
2. Eligibility
You must be at least 19 years of age to act as an Organizer. You must provide accurate identity and, where applicable, business information, and complete any onboarding and verification required by our payment processor (Stripe) before receiving payouts. The Platform does not separately require Organizers to hold a registered business number or GST/HST registration; such registration is required only as required by Stripe and applicable law.
3. Organizer responsibilities and transfer of risk
You are solely responsible for your Events. The Company acts only as a technology and marketplace provider and is not responsible for anything that happens at or in connection with your Events. All event liability, cancellation, and risk are transferred entirely to and assumed by you as the Organizer. Your responsibilities include:
Ensuring all Event information (date, time, location, lineup, pricing, age restrictions) is accurate and not misleading.
Obtaining and maintaining all required licenses, permits, and approvals — including alcohol licensing, special-occasion permits, and municipal approvals.
Complying with venue rules, occupancy and capacity limits, fire-safety, accessibility, and all applicable laws.
Providing a safe environment and adequate staffing, security, and crowd management.
Honouring tickets sold and delivering the Event as described, and handling any cancellation or rescheduling.
Commercial general liability insurance is recommended for in-person Events but is not mandated by the Company. Regardless of whether you carry insurance, you bear all liability for your Events; the Company assumes none.
4. Prohibited events
You may not list Events that are unlawful, deceptive, dangerous, or infringing. Without limitation, the following are prohibited:
Events that violate any law or that lack required licenses or permits.
Events promoting hatred, violence, or discrimination against protected groups.
Events involving illegal gambling or unlicensed games of chance.
Events involving the sale or distribution of controlled substances or cannabis products in violation of law.
Adult or sexually explicit events.
Events that infringe the intellectual-property or publicity rights of others.
Political and fundraising events are permitted provided they are lawful. The resale of tickets above their face value is prohibited, and the Company may void tickets resold above face value without refund.
5. Fees and payouts
The Platform charges service and/or processing fees, disclosed to you before you publish an Event. Payouts are processed by Stripe to your connected account, and are remitted approximately 30 days after the Event concludes, subject to fraud, dispute, chargeback, and risk holds and any applicable reserves.
6. Reserves and holds
The Company may delay, hold, or reserve payouts where reasonably necessary to manage fraud, chargeback, refund, or financial risk, or to comply with law, and may apply a rolling reserve of up to 30 days (or longer for higher-risk Events or Organizers).
7. Refunds and chargebacks
All ticket sales are final (see the Refund & Cancellation Policy). You are responsible for all chargebacks, disputes, and related costs arising from your Events. You must provide the evidence reasonably required to contest a chargeback — including scan/entry logs, attendee communications, and any refund records — within the timelines set by Stripe and the applicable card networks. The Company may recover chargeback and related amounts from your payouts or reserves. See the Chargeback & Fraud Policy.
8. Taxes
The Company pays out ticket proceeds in full and does not collect or remit taxes on your behalf. You are solely responsible for determining, collecting, and remitting all taxes associated with your Events, including any applicable GST/HST in Canada and any sales taxes in other jurisdictions.
9. Representations and warranties
You represent and warrant that you have the right and authority to host each Event, that all Event information is accurate, and that your Events and Content comply with applicable law and these policies.
10. Indemnification
You agree to indemnify and hold harmless the Company and its directors, officers, employees, and contractors, and to be solely responsible to Attendees, for any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your Events, your Content, or your breach of this Agreement or applicable law.
11. Suspension and termination
The Company may suspend or remove an Event or Organizer account, withhold payouts, or terminate this Agreement for violation of these policies or conduct the Company reasonably believes is harmful, fraudulent, or unlawful.
12. Relationship of the parties
You and the Company are independent parties. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. The Company acts as a technology and marketplace provider, not as the host of third-party Events.
13. Governing law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Privacy Policy
1. Introduction
PT Entertainment Ltd. (o/a Partytime.TO) ("we," "us," "our") operates the HXST Platform. This Privacy Policy explains how we collect, use, disclose, and protect personal information, and is incorporated by reference into the HXST Terms of Service. We handle personal information in accordance with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable privacy laws.
2. Information we collect
We collect the following categories of information:
Information you provide directly — name, email address, phone number, gender, social-media handle, and account credentials.
Purchase and payment information — credit-card brand and the last four digits of the card used for ticket purchases, and your purchase history. Full payment-card numbers are processed by Stripe and are not stored by us.
Account and usage information — login activity and records of your use of the Platform, device and browser information, IP address, and log data.
Information from third parties — payment and verification information from Stripe.
Government-issued identification is collected only by Stripe for Organizer payout verification and is not stored by us. We do not collect biometric data.
3. How we use information
We use personal information to: provide and operate the Platform; process ticket purchases and payouts; communicate with you about your account, transactions, and Events; provide customer support; maintain safety and security; detect and prevent fraud; improve the Platform; and comply with legal obligations.
4. Consent
We collect, use, and disclose personal information with your consent, or as otherwise permitted or required by law. You may withdraw consent at any time, subject to legal and contractual restrictions, by contacting our Privacy Officer (Section 14); withdrawing certain consents may limit your ability to use the Platform.
5. Marketing communications (CASL)
We send marketing emails only to users who have given express opt-in consent, as required by Canada’s Anti-Spam Legislation (CASL). Marketing consent is obtained through an unchecked (not pre-checked) opt-in at signup. Every marketing message includes an unsubscribe mechanism, and you can opt out at any time. Transactional and service messages (such as ticket confirmations) are not marketing messages.
6. Sharing and disclosure
We may share personal information with: service providers who process data on our behalf (including Stripe for payments and Amazon Web Services for hosting); Organizers, as described in Section 7; and law enforcement or other parties where required by law or to protect rights, safety, and security. We do not sell personal information, and we do not use third-party advertising or analytics trackers.
7. Information shared with Organizers
When you purchase a ticket, we share with the relevant Organizer the information reasonably necessary to administer the Event. Organizers may only use attendee contact information to administer the Event, and may send marketing communications to attendees only with the attendee’s express CASL-compliant consent.
8. Data hosting and cross-border transfers
We host personal information in Canada using Amazon Web Services (AWS) in a Canadian region, and Canadian personal information is intended to remain in Canada. Certain service providers, such as our payment processor Stripe, may process limited information (such as payment data) outside Canada, including in the United States, where it may be subject to the laws of those jurisdictions.
9. Data retention
We retain personal information for as long as necessary to provide the Platform, comply with legal, tax, and accounting obligations, resolve disputes, and enforce our agreements, after which it is securely deleted or anonymized.
10. Security
We use reasonable administrative, technical, and physical safeguards to protect personal information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
11. Your rights
Subject to applicable law, you may request access to, or correction of, your personal information, and may ask questions about our handling of it, by contacting our Privacy Officer. We will respond within the timeframes required by PIPEDA.
12. Children
The Platform is restricted to users 19 years of age or older. We do not knowingly collect personal information from anyone under 19. If we learn we have done so, we will delete it.
13. Cookies
We use only the cookies and similar technologies necessary to operate the Platform, as described in our Cookie & Tracking Disclosure, incorporated by reference. We do not use third-party advertising or analytics trackers.

Acceptable Use Policy
1. Scope
This Acceptable Use Policy applies to all Users and is incorporated by reference into the HXST Terms of Service. It describes conduct that is prohibited on the Platform.
2. Prohibited platform abuse
You may not:
Interfere with or compromise the security or integrity of the Platform.
Attempt to gain unauthorized access to any account, system, or data.
Scrape, crawl, harvest, or otherwise collect data from the Platform without authorization.
Disrupt, overload, or impair the Platform or its underlying infrastructure.
Reverse-engineer, decompile, or attempt to extract source code, except as permitted by law.
Introduce malware, viruses, or other harmful code.
3. Automated access, bots, and API
The use of bots, scripts, crawlers, or other automated means to access the Platform, create accounts, or purchase tickets is strictly prohibited. The Platform does not offer a public or partner API, and no automated or programmatic access is authorized.
4. Fraud and misrepresentation
You may not impersonate any person or entity, misrepresent your affiliation, provide false or misleading Event or account information, or engage in fraudulent transactions or payment activity.
5. Consequences of violation
We may investigate suspected violations and may suspend or terminate accounts, remove Events or Content, withhold payouts, and report unlawful activity to authorities. See the Chargeback & Fraud Policy for fraud-specific measures.

Chargeback & Fraud Policy
1. Overview
This Chargeback & Fraud Policy is incorporated by reference into the HXST Terms of Service and explains how the Platform handles chargebacks, payment disputes, and fraud.
2. Chargeback handling
Where appropriate, the Company may investigate and dispute chargebacks initiated against transactions processed through the Platform, and may recover associated costs (including chargeback fees) from the responsible Organizer.
3. Organizer responsibility
Organizers are responsible for all chargebacks, refunds, and related costs arising from their Events. The Company may recover these amounts from Organizer payouts or reserves, or invoice the Organizer where payouts are insufficient.
4. Evidence and dispute timelines
To contest a chargeback, the responsible Organizer must provide the evidence reasonably required — including ticket scan/entry logs, attendee communications, and any refund records — within the timelines set by Stripe and the applicable card networks. Failure to provide timely evidence may result in the chargeback being resolved against the Organizer, who remains responsible for the associated costs.
5. Fraud monitoring
The Company relies on the fraud-monitoring and risk tools provided by our payment processor, Stripe (including Stripe Radar), to screen and score transactions and to flag suspicious activity. Identity verification and manual review are applied in accordance with Stripe’s risk processes and our reasonable judgment.
6. Account holds, freezes, and reserves
The Company may place holds, freezes, or reserves on accounts or payouts during a fraud or dispute investigation, including a rolling reserve of up to 30 days, and may cancel orders or Events reasonably believed to be fraudulent.
7. Consequences
Confirmed fraud or repeated chargeback abuse may result in account suspension or termination, forfeiture of reserves to cover losses, and referral to law enforcement.

Copyright Policy
1. Overview
We respect intellectual-property rights and expect Users to do the same. This Policy explains how to report content on the Platform that you believe infringes your copyright, and is incorporated by reference into the HXST Terms of Service.
2. Reporting infringement — Canada (Notice and Notice)
In Canada, copyright owners may send a notice of claimed infringement under the "Notice and Notice" regime (sections 41.25–41.27 of the Copyright Act). On receipt of a compliant notice, we will, as required by law, forward the notice to the relevant User and retain associated records. A compliant notice must identify the work, the alleged infringement, the claimant’s contact information, and the location of the material.
3. Reporting infringement — United States (DMCA)
For material accessible in the United States, we will respond to compliant notices under the Digital Millennium Copyright Act (17 U.S.C. § 512) and may remove or disable access to allegedly infringing content and terminate repeat infringers.
We have not registered a designated DMCA agent with the U.S. Copyright Office. Until such an agent is registered, the statutory "safe harbour" under the DMCA may not be available to the Company. All copyright notices should be sent to the contact below.
4. Required information in a notice
A notice should include: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is unauthorized; a statement that the information is accurate; and (for DMCA notices) a statement, under penalty of perjury, that you are authorized to act on the owner’s behalf, with your physical or electronic signature.
5. Counter-notification
If your content was removed and you believe it was removed in error, you may submit a counter-notification with the corresponding information required by law. We may restore the content as permitted by applicable law.
6. Repeat infringers
We may suspend or terminate the accounts of Users who are repeat infringers.

2. What are cookies and similar technologies
Cookies are small data files stored on your device. The Platform may use cookies and similar technologies to operate the service, keep you signed in, remember preferences, and complete transactions.
3. We do not use third-party tracking
The Platform uses only the essential and functional cookies and technologies necessary to operate the service. We do not currently use third-party analytics providers, advertising pixels, or cross-site tracking technologies (such as Google Analytics, Meta Pixel, or TikTok Pixel), and we do not track you across other websites or apps.
4. Types we use
Essential — required to operate the Platform, sign in, and complete transactions.
Functional — remember preferences and settings.
5. Managing cookies
You can manage cookies through your browser or device settings; disabling some cookies may affect Platform functionality.
6. Do Not Track
Some browsers offer a "Do Not Track" signal. Because there is no common industry standard, the Platform may not respond to such signals.

1. Purpose
These Community & Content Standards set expectations for content and conduct on the Platform and are incorporated by reference into the HXST Terms of Service. They reflect Partytime.TO’s commitment to a safe, inclusive, and welcoming community.
2. Content standards
You may not upload, post, or share Content that is unlawful, abusive, defamatory, harassing, hateful, infringing, deceptive, or misleading.
3. Prohibited content and conduct
Harassment, bullying, threats, or intimidation of any person.
Hate speech or content promoting discrimination or violence against protected groups.
Sexually explicit content involving minors, or any content that sexualizes minors (zero tolerance; reported to authorities).
Content that promotes self-harm, dangerous activities, or illegal goods or services.
Impersonation, fraud, or misleading Event information.
Content that infringes intellectual-property or privacy rights.
4. Reporting and moderation
Users can report content or conduct that violates these Standards through the Platform or at info@hxstevents.com. Reports are reviewed by the HXST team, which aims to respond to reports within a reasonable time and may remove Content, restrict features, or take other action where these Standards are violated. 5. Enforcement actions
Depending on severity, we may warn Users, remove Content, restrict features, suspend or terminate accounts, withhold payouts, or report unlawful activity to authorities.
6. Appeals
If you believe an enforcement action was taken in error, you may appeal by contacting info@hxstevents.com. Appeals are reviewed by the HXST team, which aims to respond within a reasonable time.
7. Changes
We may update these Standards from time to time, effective when posted.
